ZipTemp.com Advertising Agreement

This Advertising Agreement ("Agreement") is made between ZipTemp.com ("Publisher") and the Advertiser ("Advertiser") for the placement of advertisements on the ZipTemp.com website.

1. Advertisement Placement and Pricing

1.1. Ad Slot: Advertisements will be placed in designated ad slots on the ZipTemp.com website, as agreed upon by both parties.

1.2. Pricing: The cost for advertising is a flat rate of $1.00 (One U.S. Dollar) per day per ad slot.

1.3. Coupon Requirement: All advertisements submitted to ZipTemp.com must include a verifiable coupon or special offer specifically for ZipTemp.com users. The coupon details (e.g., discount percentage, fixed amount, free item, valid dates, terms and conditions) must be clearly stated within the ad content.

2. Content Guidelines and Prohibited Content

2.1. General Content Standards: All advertisements must be professional, accurate, truthful, and relevant to the ZipTemp.com audience. Content should be clear, concise, and easy to understand.

2.2. Required Coupon Content: As stated in Section 1.3, each advertisement must conspicuously feature a coupon or special offer for ZipTemp.com users.

2.3. Prohibited Content: The following types of content are strictly prohibited and will not be accepted or displayed by ZipTemp.com:

• a. Illegal Activities: Content that promotes or facilitates illegal products, services, or activities (e.g., drugs, illegal weapons, pirated content).
• b. Hate Speech & Discrimination: Content that promotes hatred, discrimination, violence, or prejudice against any individual or group based on race, ethnicity, national origin, religion, disability, gender, age, sexual orientation, or any other protected characteristic.
• c. Misleading or Deceptive Content: Content that is false, misleading, fraudulent, or deceptive, including but not limited to bait-and-switch tactics, unsubstantiated claims, or hidden fees.
• d. Harmful or Malicious Content: Content that contains malware, viruses, spyware, phishing attempts, or any other harmful code or practices.
• e. Adult Content: Content that is sexually explicit, pornographic, or depicts nudity, suggestive acts, or sexually suggestive themes.
• f. Tobacco, Alcohol, and Pharmaceuticals: Content promoting the sale or use of tobacco products, excessive alcohol consumption (where prohibited by law), or unapproved or illicit pharmaceuticals.
• g. Gambling: Content promoting online casinos, sports betting, or other forms of gambling where not legally permitted or appropriately licensed.
• h. Intellectual Property Infringement: Content that infringes upon the intellectual property rights of others, including copyrights, trademarks, and patents.
• i. Dangerous Products/Services: Content promoting products or services that pose a significant risk of harm to users (e.g., recreational drugs, dangerous chemicals, weapons).
• j. Scams & Fraud: Content associated with pyramid schemes, get-rich-quick schemes, or any other fraudulent activity.
• k. Personal Attacks & Harassment: Content that harasses, intimidates, or targets individuals.
• l. Sensitive Information: Content that solicits private or sensitive personal information without appropriate security measures and explicit consent.

3. Right of Refusal and Removal

3.1. Publisher's Discretion: ZipTemp.com reserves the absolute right, at its sole discretion, to refuse, reject, or remove any advertisement for any reason, or no reason, including but not limited to:

• a. Violation of any term in this Agreement.
• b. Content deemed inappropriate, offensive, or inconsistent with ZipTemp.com's values or brand image.
• c. Concerns regarding the advertiser's reputation, business practices, or service quality.
• d. Technical issues preventing proper display or functionality of the ad.
• e. Legal or regulatory compliance issues.
• f. Any content that ZipTemp.com believes may create liability for the Publisher.

3.2. No Obligation to Explain: ZipTemp.com is not obligated to provide a reason for refusing or removing an advertisement.

3.3. Removal Without Notice: ZipTemp.com may remove any advertisement that violates this Agreement without prior notice to the Advertiser. In such cases, no refund will be issued for the remaining ad days.

3.4. Advertiser Revisions: If an advertisement is refused or removed due to content issues, the Advertiser may revise the ad content and resubmit it for review. ZipTemp.com will then determine, at its sole discretion, whether the revised ad meets its standards.

4. Advertiser Responsibilities

4.1. Accuracy and Legality: Advertiser is solely responsible for the accuracy, legality, and truthfulness of all content provided for advertisements.

4.3. Intellectual Property: Advertiser warrants that it owns or has the necessary licenses, rights, consents, and permissions to use all content, including images, text, and trademarks, submitted for advertisement. Advertiser agrees to indemnify and hold ZipTemp.com harmless from any claims arising from the use of such content.

4.4. Compliance with Laws: Advertiser ensures that its advertisements and the products/services promoted therein comply with all applicable local, state, national, and international laws, regulations, and industry standards, including those related to consumer protection, privacy, and advertising.

5. Payment Terms

5.1. Prepayment: All ad placements must be paid for in advance for the requested duration.

5.2. No Refunds: Payments for advertising are non-refundable, except in cases where ZipTemp.com fails to display the ad due to its own technical error for which it is solely responsible.

6. Term and Termination

6.1. Term: This Agreement begins when the Advertiser submits an ad and payment is processed and continues for the paid advertising period.

6.2. Termination by ZipTemp.com: ZipTemp.com may terminate this Agreement and remove any advertisement immediately if the Advertiser breaches any term of this Agreement, particularly those related to content guidelines or payment.

6.3. No Liability for Termination: ZipTemp.com will not be liable to the Advertiser or any third party for any termination of ad display.

7. Disclaimer and Limitation of Liability

7.1. "As Is" Service: ZipTemp.com provides its advertising service "as is" and "as available" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2. No Guarantees: ZipTemp.com makes no guarantees regarding the number of impressions, clicks, conversions, or any other specific results from the advertisements.

7.3. Limitation of Liability: To the maximum extent permitted by law, ZipTemp.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the advertising service; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use, or alteration of your transmissions or content.

8. Governing Law

8.1. This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.

9. Miscellaneous

9.1. Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.

9.2. Entire Agreement: This Agreement constitutes the entire and exclusive agreement between ZipTemp.com and the Advertiser regarding its subject matter, and supersedes and replaces any prior agreements, whether written or oral.

By submitting an advertisement and making payment, the Advertiser acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this ZipTemp.com Advertising Agreement.
